1. Introduction and Identification

Welcome to Meetario. These Terms of Service ("Terms") govern your access to and use of the Meetario website at https://meetario.com, our applications, APIs, and all related services (collectively, the "Service").

The Service is operated by Meetario, a sole proprietorship registered in Ukraine (hereinafter "we," "our," or "us"). Our contact details are set out in Section 19 below.

By creating an account, accessing, or using the Service, you ("User" or "you") confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Service Description

Meetario is a software-as-a-service (SaaS) platform that provides:

  • Online appointment scheduling and booking page creation
  • Calendar management and two-way synchronization with Google Calendar and Microsoft Outlook
  • Video conferencing integration with Zoom and Jitsi Meet
  • Automated notifications via email, Telegram, WhatsApp, Viber, and Slack
  • Team scheduling including round-robin, group, and collective booking modes
  • CRM integrations with HubSpot, Salesforce, and Pipedrive
  • Payment collection for paid bookings
  • Webhooks and REST API for custom integrations
  • Analytics and reporting dashboards

We strive to ensure the Service is available 24/7, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, during which the Service may be temporarily unavailable. We will make reasonable efforts to provide advance notice of planned downtime.

3. Account Registration and Responsibilities

3.1 Registration

To use certain features of the Service, you must register for an account. You can register using an email address and password, or through Google or Microsoft OAuth. You agree to provide accurate, current, and complete information and to keep it up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@meetario.com if you become aware of any unauthorized access to your account.

3.3 Team Accounts

If you are an account administrator, you are responsible for the actions of team members you invite to your account. You may add, remove, and manage team member permissions through the Account Settings. Team members are bound by these Terms.

3.4 Age Requirement

You must be at least 16 years old (or such higher age as required by applicable law) to create an account. By registering, you represent that you meet this age requirement.

We reserve the right to disable any account if we reasonably believe that these Terms have been violated.

4. Subscription Plans and Billing

4.1 Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

When you purchase a paid plan, you enter into a direct purchase agreement with Paddle.com Market Limited (for customers outside the US) or Paddle.com Inc. (for US customers). Paddle's Buyer Terms apply to all transactions: https://www.paddle.com/legal/buyer-terms.

Paddle handles payment processing, invoicing, sales tax / VAT collection, and remittance on our behalf. We do not store your payment card details.

4.2 Subscription Plans and Free Tier

Meetario offers both free and paid subscription plans. The features, limitations, and pricing of each plan are described on our Pricing page. Key limitations include the number of event types, team members, integrations, and bookings per month. We reserve the right to modify plan features and pricing; any price increase for your current plan will be communicated at least 30 days in advance and will apply from your next billing cycle.

4.3 Recurring Billing

Paid subscriptions renew automatically at the end of each billing period (monthly or annual, as selected by you) until cancelled. By subscribing, you authorize Paddle to charge your chosen payment method on a recurring basis.

4.4 Cancellation

You may cancel your subscription at any time through your Meetario Account Settings or by contacting Paddle support. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. No partial refunds are provided for unused time within a billing period, except as required by applicable law.

5. Refund Policy

Your statutory rights are not affected by this policy.

If you are a consumer in the European Economic Area (EEA), the United Kingdom, or another jurisdiction that grants a statutory cooling-off period, you have the right to withdraw from your purchase within 14 days of the transaction date without giving any reason, in accordance with the EU Consumer Rights Directive (2011/83/EU) and equivalent local laws.

To exercise this right, contact Paddle support at https://www.paddle.com/help or via the link in your purchase confirmation email. Paddle, as the Merchant of Record, processes all refund requests.

After the 14-day withdrawal period, refunds are provided at Paddle's discretion on a case-by-case basis. Refund requests can be submitted to Paddle support within 60 days of the transaction date.

For subscriptions that have been renewed, the 14-day withdrawal right applies from the most recent renewal date. If you have actively used the Service during the withdrawal period after giving explicit prior consent to immediate performance, you acknowledge that you may lose your withdrawal right to the extent the Service has been provided.

6. Acceptable Use Policy

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable law or regulation in any jurisdiction
  • Transmit or upload any material containing viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
  • Use automated means (bots, scrapers, spiders) to access the Service without our prior written consent (our documented REST API and webhooks are excepted)
  • Use the Service to send unsolicited communications (spam) or for any fraudulent purpose
  • Abuse the notification system (Telegram, WhatsApp, Viber, Slack, email) to send messages unrelated to scheduled bookings
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service, except to the extent permitted by applicable law
  • Resell, sublicense, or redistribute access to the Service without our prior written consent
  • Exceed the usage limits of your subscription plan through technical workarounds

We may suspend or terminate accounts that violate this policy, with or without prior notice depending on the severity of the violation.

7. User Content

The Service allows you to submit, post, store, and share information such as event details, scheduling pages, profile information, and other materials ("User Content"). You retain all ownership rights to your User Content.

By submitting User Content, you grant Meetario a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, and display your User Content solely to the extent necessary to provide and improve the Service. This license terminates when you delete your User Content or your account, except where your content has been shared with others and they have not deleted it.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe any third-party rights.

8. Intellectual Property

The Service and its original content (excluding User Content), features, functionality, visual design, and underlying technology are and will remain the exclusive property of Meetario and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

The Meetario name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Meetario. You must not use them without our prior written permission.

These Terms do not grant you any right, title, or interest in the Service, our trademarks, or other intellectual property.

9. Third-Party Integrations and Services

The Service integrates with third-party services including Google Calendar, Microsoft Outlook, Zoom, Jitsi, Telegram, WhatsApp, Viber, Slack, HubSpot, Salesforce, Pipedrive, Stripe, and PayPal. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

You authorize Meetario to access and interact with connected third-party accounts on your behalf, within the scope of permissions you grant. You may disconnect any integration at any time through your Integrations page in Account Settings.

Third-party services may change their APIs, terms, or availability at any time. We will make reasonable efforts to maintain integrations but cannot guarantee uninterrupted operation of any third-party connection.

10. Data Processing and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for information on how we collect, use, and protect your personal data.

We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679 ("GDPR"), the UK GDPR, the Australian Privacy Act 1988, and other applicable data protection legislation.

As a user who hosts bookings, you acknowledge that you act as a data controller for the personal data of your invitees (attendees who book meetings with you). You are responsible for ensuring you have a lawful basis for collecting and processing their data through the Service. We act as your data processor for this invitee data.

11. API and Webhook Usage

Meetario provides a REST API and webhook system for programmatic access. Use of the API is subject to:

  • Rate limits as documented in the API documentation
  • Authentication via API tokens generated in your Account Settings
  • The same acceptable use restrictions that apply to the web interface

We may throttle or suspend API access if usage patterns suggest abuse or pose a risk to Service stability. We reserve the right to modify the API with reasonable notice.

12. Termination

12.1 Termination by You

You may stop using the Service and delete your account at any time through your Account Settings or by contacting us at support@meetario.com. If you have an active paid subscription, please cancel it before deleting your account (see Section 4.4).

12.2 Termination by Us

We may suspend or terminate your access to the Service if:

  • You materially or repeatedly breach these Terms
  • We are required to do so by law, regulation, or court order
  • Your use of the Service poses a security risk or may cause harm to other users or third parties
  • Your account has been inactive for more than 12 consecutive months (free accounts only)

Where practicable, we will provide you with reasonable prior notice and an opportunity to remedy a curable breach before terminating your account. This does not apply where immediate action is necessary to protect the safety or security of the Service or its users.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days, except where retention is required by applicable law. You may request a data export before account deletion by contacting privacy@meetario.com. Sections that by their nature should survive termination will survive, including Sections 7, 8, 13, 14, 15, and 16.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any third-party integrations will function without interruption; or (d) any errors in the Service will be corrected.

This disclaimer does not affect your statutory rights as a consumer. If you are a consumer in the EEA, UK, or Australia, you have statutory rights that cannot be waived by these Terms, including rights under the EU Consumer Rights Directive, the UK Consumer Rights Act 2015, and the Australian Consumer Law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEETARIO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL MEETARIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law.

15. Indemnification

You agree to indemnify and hold harmless Meetario from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; (d) your User Content; or (e) your processing of invitee personal data through the Service. This Section does not apply to the extent prohibited by applicable consumer protection law.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to its conflict of law provisions.

If you are a consumer habitually resident in the EEA, UK, or Australia, you additionally benefit from any mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

We will attempt to resolve any disputes amicably. If a dispute cannot be resolved informally within 30 days, it shall be submitted to the competent courts of England and Wales, except where mandatory consumer protection laws grant you the right to bring proceedings in the courts of your country of residence.

If you are a consumer in the EU, you may also use the Online Dispute Resolution (ODR) platform provided by the European Commission at https://ec.europa.eu/consumers/odr/.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice by email and/or by posting a notice on the Service before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

Previous versions of these Terms are available upon request.

18. Miscellaneous

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement. These Terms, together with our Privacy Policy and Paddle's Buyer Terms, constitute the entire agreement between you and Meetario regarding the Service.

Assignment. We may assign our rights and obligations under these Terms without your consent, for example in connection with a business transfer. You may not assign your rights under these Terms without our prior written consent.

Force Majeure. We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, power outages, or internet disruptions.

Language. These Terms are drafted in English. If these Terms are translated into any other language and there is a conflict between the English version and the translated version, the English version shall prevail to the extent permitted by applicable law.
